Terms of Service

Please read these Terms of Service carefully before using RaverPass, operated by BeatPass LLC. By accessing or using our platform, you agree to be bound by these terms.

1. Acceptance of Terms

By creating an account or purchasing tickets on RaverPass, you confirm that you are at least 18 years old (or have parental consent), that you have read and understood these Terms, and that you agree to be legally bound by them. If you do not agree, you may not use the platform.

2. Description of Service

RaverPass is an online ticketing platform that connects event organizers with attendees. The organizer sells the ticket; we provide the platform through which it is found, paid for and delivered. Our services include:

• Discovery and purchase of tickets for electronic music events and live shows.
• Delivery of QR-code tickets via email and in-platform.
• Guestlist management for organizers.
• Promoter referral programs via unique links.
• Ticket resale through our controlled secondary marketplace.

BeatPass LLC acts solely as a technology intermediary that provides the service of obtaining access (tickets) to events published on the platform by third-party organizers. We are not the organizer, promoter, producer or seller of any event, and we do not own, host or control the events themselves. The contract for attendance to an event is concluded directly between the buyer and the organizer; our role is limited to facilitating discovery, payment and ticket delivery in exchange for the service fee and commissions described in the Fees & Commissions section.

3. User Accounts

To purchase tickets or access account features, you must register with a valid email address and keep your credentials secure. You are responsible for all activity that occurs under your account. Notify us immediately at support@raverpass.com if you suspect unauthorized access.

You may not create accounts using false information, share accounts with others, or use automated tools to create or access accounts.

4. Ticket Purchases & Payments

Each organizer sets their event price in their own currency, and that is the currency the payment is taken in. The selector in the footer only changes the currency you read prices in — it does not change what you are charged, so the same ticket costs every buyer the same. Where the event currency cannot be processed, the charge is taken in US dollars. The exact amount and currency to be charged are shown before you confirm payment, and the exchange rate is fixed at that moment.

A platform service fee is added at checkout to cover our service and the payment processing (transaction) cost we incur. Payments are processed securely by our certified payment partners (Stripe, MercadoPago, PayPal). BeatPass LLC does not store your card details.

Once a purchase is confirmed, a QR ticket is generated and sent to your registered email address. For security, QR codes become scannable shortly before the event date, on a platform-wide schedule; tickets for free events are available immediately.

5. Fees & Commissions

BeatPass LLC earns revenue exclusively from the service fees and commissions set out below. The ticket face price is set by the organizer and is paid through to them, less the applicable commission. The amounts are configurable and the table reflects the rates currently in effect:

By default the buyer pays the ticket price plus the service fee, and the organizer receives the ticket price less the organizer commission and any promoter commissions. The organizer can choose, event by event, to sell at a final price: the buyer then pays only the ticket price and the service fee is deducted from the organizer’s settlement. The service fee covers our service plus the transaction cost charged to us by the payment processor and, when the event is charged in a currency other than the US dollar, the currency conversion cost.

The service fee is non-refundable: when a ticket is refunded it is returned neither to the buyer nor to the organizer, whoever paid it. The only exception is the cancellation of the event: the buyer receives everything they paid, fee included, and the fee is deducted from the organizer’s settlement.

6. Taxes & VAT

BeatPass LLC does not collect, withhold or remit Value Added Tax (VAT/IVA) or any equivalent indirect tax from buyers on behalf of organizers. Any price displayed is deemed to be tax-inclusive where applicable, and the tax component is embedded in the ticket price set by the organizer.

The organizer is the merchant of record for the event and is solely responsible for determining, charging, declaring and paying any VAT/IVA, sales tax, or other tax owed in connection with their event, as well as for issuing any tax documentation required by law. By publishing an event, the organizer expressly accepts this responsibility and agrees to indemnify BeatPass LLC against any tax claim arising from their event.

7. Organizer Responsibilities

By creating and publishing an event, the organizer represents and agrees that:

• They are the seller of the tickets to their event and the responsible party for it, including compliance with all applicable laws, licenses and tax obligations. BeatPass LLC collects the price from the buyer on their behalf, and is named as such on the buyer’s receipt.
• They accept the organizer commission of 3% on their net payable, which funds the admin statistics platform and the QR scanning/validation service.
• They are responsible for honoring the tickets sold, and for the accuracy of the event information they publish.
• They may choose, per event, whether to allow free RaverPromoters and whether their own invited promoters earn commission.

8. Settlements and Organizer Payouts

Ticket revenue is collected by BeatPass LLC through its payment processors. Once the event has ended, we issue a settlement detailing sales, refunds and commissions, and transfer the net amount to the organizer under these rules:

• There are no advance payouts. No part of the net amount is paid before the event ends, regardless of the organizer's track record or sales volume.
• New organizers (their first 3 settled events): payment is made from 10 business days after the event ends, with 15% of the net amount held in reserve.
• Recurring organizers (once their first 3 events are settled, with no pending chargebacks): payment is made from 5 business days after the event ends, with 5% of the net amount held in reserve.
• The reserve covers chargebacks, disputes and refunds that arrive after payment. It is released 35 calendar days after the event ends, less anything it had to cover.
• If the organizer chose to sell at a final price, the service fee on each sale is deducted from their settlement. The fee on a refunded ticket is not returned to them, and if the event is cancelled or a chargeback is lost, the fee returned to the buyer is also deducted from their settlement.
• If chargebacks or refunds exceed the reserve, the organizer must reimburse the difference as soon as they are notified, by card from their panel or by bank transfer. Until they do, BeatPass LLC may deduct it from their future settlements.
• BeatPass LLC may increase the reserve or delay a payout while it reviews an unusual volume of chargebacks, complaints or signs of fraud, or when the event was cancelled or significantly changed. In those cases it tells the organizer why.
• While a chargeback is open or a refund is unreviewed on an event's sales, its settlement is not paid. A lost chargeback is treated as a refund.
• To be paid, the organizer must have provided their tax details and a bank account in their own name or their company's. Any change of bank account is verified through another channel before the next payout. Where BeatPass LLC offers it, the organizer may be paid through Stripe Connect, which verifies their identity and holds their bank details.

Terms are counted from the end of the event, not its start, and do not include the time the receiving bank takes to credit the transfer. Each settlement is calculated and paid in the currency the event was charged in (for example, in euros for an event priced in euros), using the amounts fixed at each purchase, without converting them again. If a charge requires currency conversion, that cost is paid by the buyer as part of the service fee and is never deducted from the organizer's net amount.

9. Refund & Cancellation Policy

The organizer is the seller of the ticket and sets the refund policy for their event. All ticket sales are final unless the event is cancelled or significantly changed by the organizer. In such cases BeatPass LLC processes the refund on the organizer’s behalf, out of the funds it holds for them:

• If an event is cancelled, you will receive a full refund of what you paid, service fee included, to your original payment method, normally within 5-10 business days of the cancellation being confirmed to us.
• If an event is postponed, tickets remain valid for the new date. If you cannot attend the new date, contact support within 7 days of the announcement.
• The platform service fee is non-refundable. It is only returned if the event is cancelled, and in that case the organizer bears it.

To request a refund for an eligible event, contact support@raverpass.com with your order details. We handle the request as the organizer’s agent; where the decision is theirs to make, we pass it on to them and let you know the outcome.

10. RaverWallet (Platform Credit)

RaverWallet is the credit balance attached to your RaverPass account, denominated in US dollars. It exists for one purpose: to be applied as a discount against the price of purchases made on the platform. Credit is applied at checkout, before payment, and reduces the amount charged to your card.

RaverWallet is not a payment card, a bank account, an e-money account or a payment instrument of any kind. It cannot be used outside RaverPass, it earns no interest, and BeatPass LLC does not hold it as a deposit on your behalf. Specifically:

• Credit is created only by activity on the platform: promoter commissions, refunds issued as credit and proceeds from a resale. You cannot top it up.
• Promoter commissions are credited as pending and only become spendable on the date the organizer's payout for that event becomes payable.
• Credit has no cash value. It cannot be withdrawn, transferred to another account or exchanged for money.
• A refund or a lost chargeback reverses the credit it produced, and the balance may go negative until it is covered by later credit.
• BeatPass LLC may audit, suspend or revoke credit obtained through fraud, abuse or error.

If your account is closed, any remaining credit is forfeited and no payment is made in its place. Money you paid for a ticket is governed by the refund section above, not by this one.

11. Promoter Program (RaverPromoters)

RaverPass offers a promoter referral program. Each organizer decides, per event, whether to enable free RaverPromoters (any eligible user may generate a referral link and always earns a commission on attributed sales) and/or whether their own invited promoters earn a commission. Where enabled, promoters earn 3% per attributed sale, credited as RaverWallet rewards. The commission stays pending until the organizer's settlement for that event becomes payable (see Settlements and Organizer Payouts), and is cancelled — or taken back from the balance if already available — when the ticket is refunded or a chargeback is lost.

Commission settings are evaluated at the time of each sale and are not retroactive: changing the promoter settings of an event does not affect commissions already attributed to past sales. Rewards are credited to your RaverWallet and are governed by the RaverWallet section above. See the RaverPromoters page for details.

12. Ticket Promotions & Packs

An organizer may offer a batch as a promotional pack - a "3x2", for example. The price shown for such a batch is the price of the whole pack, not of one ticket, and the number of tickets it hands over is stated beside it before you buy.

• One purchase delivers several independent tickets, each with its own QR code. You may forward them to whoever is attending with you.
• Each QR code admits one person and can be scanned once. There is no shared code and no manual head count at the door.
• Capacity, settlements and commissions are calculated on the per-ticket price attributed to the pack - the pack price divided by the number of tickets it contains.
• Tickets acquired within a promotion cannot be listed on the secondary marketplace. The discount is a reason to attend, not stock to resell.
• A pack is sold as a single unit: it cannot be partially refunded or partially cancelled. If the event is cancelled, the full pack is refunded under the Refund & Cancellation Policy.

Promotional packs are not available on free events, and the number of tickets a pack contains is fixed once the batch has sold - it can never change for a purchase already made.

13. Paid Feature Placements

Separately from ticket sales, an organizer may buy a feature placement: paid visibility for their event on the home page and in the catalogue, either nationally or in a single city, for a fixed number of days. Unlike a ticket, this is a service BeatPass LLC sells on its own account — here the organizer is the customer, not the seller.

• A placement starts as soon as it is paid and runs for the number of days purchased. A future start date cannot be chosen.
• Each scope has a limited number of slots. A slot is held from the moment the purchase is started and is released if payment is not completed.
• The price is the one shown at purchase, charged in the currency of the event. It carries no service fee. The amount is fixed at that moment and does not change afterwards.
• A placement is not refundable, in whole or in part, under any circumstance. What is bought is the visibility delivered from the moment it starts, and the days remaining are not a balance owed. No credit, voucher or wallet balance is issued in its place.
• If the event is cancelled, hidden or unpublished, the placement ends immediately and nothing is returned for the days not used. Taking an event off the platform is the organizer's decision, and the visibility already delivered was the service paid for.
• BeatPass LLC may also feature an event free of charge at its own editorial discretion. A courtesy placement grants no rights and consumes no purchased slot.

A placement buys visibility, not a result: no level of attendance, ticket sales or traffic is promised. BeatPass LLC may withdraw a placement from an event that breaches these Terms, with no refund of the days not used.

A placement is invoiced to the organizer's registered business details. BeatPass LLC does not charge VAT on it; where the organizer is a registered business, the recipient accounts for the tax under the reverse charge.

14. Prohibited Conduct

You agree not to:

• Resell tickets outside of our authorized secondary marketplace.
• Use bots or scripts to purchase or monitor tickets.
• Share, duplicate, or tamper with QR codes.
• Impersonate other users or event organizers.
• Post or transmit unlawful, harmful, or offensive content.
• Attempt to reverse-engineer or disrupt the infrastructure of the platform.

Violations may result in immediate account suspension and legal action.

15. Intellectual Property

All content on RaverPass - including logos, design, text, and software - is the property of BeatPass LLC or its licensors and is protected by applicable copyright and trademark laws. You may not reproduce, distribute, or create derivative works without prior written permission.

Event artwork and promotional materials remain the property of the respective organizers or artists.

16. Limitation of Liability

To the maximum extent permitted by law, BeatPass LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform, including but not limited to event cancellations, lost profits, or data loss.

Our total liability for any claim related to a purchase is limited to the amount you paid for the ticket in question.

17. Governing Law & Jurisdiction

These Terms are governed by the laws of the jurisdiction in which BeatPass LLC is incorporated. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.

18. Changes to These Terms

We may update these Terms at any time. When we do, we will revise the "Last updated" date at the top of this page. Continued use of the platform after changes constitutes acceptance of the new Terms. We encourage you to review this page periodically.
